These Terms & Conditions ("Terms") govern your access to and use of the Reviewal website at reviewal.io (the "Site") and the Instagram compliance audit service (the "Service") offered by Reviewal ("Reviewal", "we", "us", or "our"). By accessing the Site, submitting an application, or purchasing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Site or Service.



These Terms incorporate our Privacy Policy and any additional order-specific terms presented at checkout.




1. The Service



Reviewal produces a written compliance audit of a publicly visible Instagram profile. A typical audit includes:



- An overall risk assessment and compliance score

- A review of the profile, bio, highlights, captions, content patterns, and engagement signals

- A prioritised list of issues and recommendations

- A suggested implementation sequence

- Delivery as a written report by email



Scope. The Service is focused on reducing the risk of Instagram platform enforcement — including mass-report exposure, algorithmic suppression, content removals, and account restrictions under Meta's published Community Standards and Terms of Use. The Service is advisory and informational only. It is not legal advice, financial advice, tax advice, marketing-regulation advice, or advice about the laws of any jurisdiction. If you need that, consult an appropriately qualified professional.



No affiliation with Meta. Reviewal is an independent business and is not affiliated with, endorsed by, or connected to Meta Platforms, Inc., Instagram, or any of their subsidiaries. Any references to Meta, Instagram, or their products are for identification only.




2. Eligibility



To use the Service, you must:



- Be at least 18 years old and legally able to enter into a binding contract

- Own the Instagram account being submitted, or have express written authority from the account owner to submit it for audit

- Provide accurate, current, and complete information at application and checkout



You are responsible for any activity on your order and for the accuracy of what you submit.




3. Application and Acceptance



Submitting an application or completing checkout is an offer to purchase the Service. Reviewal may, at its sole discretion, decline to accept any order, including where:



- The submitted profile is private, inaccessible, or cannot be audited from public data

- The profile content is outside the categories we serve

- The order appears fraudulent, duplicated, or abusive

- We believe acceptance would breach these Terms or applicable law



If we decline an order before work begins, we will refund the amount paid. See Section 6.




4. Pricing and Payment



- Prices are displayed on the Site and at checkout in the currency shown. The price at the time you complete checkout is the price that applies to your order.

- Payment is processed by Shopify and its payment partners. By completing checkout, you also agree to Shopify's applicable terms.

- Taxes, duties, and currency conversion fees imposed by your jurisdiction or your card issuer are your responsibility.

- Chargebacks. Initiating a chargeback without first contacting us at info@reviewal.io to try to resolve the issue is a breach of these Terms and may result in suspension of future service.




5. Delivery



Audit reports are delivered by email to the address provided at checkout. Delivery times are estimates only and may vary with demand, account complexity, and availability of the data required for the audit. We do not guarantee any specific turnaround time.



You are responsible for providing a working email address, checking spam folders, and whitelisting our sending domain.




6. Refund Policy



Before work begins. If we decline your order, or if you cancel in writing before we begin auditing your profile, you will receive a full refund.



After delivery. Because the Service is a digital, custom deliverable, all sales are final once the audit report has been delivered.



Errors or disputes. If you believe there is a factual error in your report, or that the deliverable does not match what was ordered, email info@reviewal.io promptly after delivery. We will review in good faith and, where appropriate, correct, supplement, or in exceptional cases partially or fully refund the order. Disagreement with the recommendations or opinions in the report is not, by itself, grounds for a refund.



Approved refunds are issued back to the original payment method, subject to the processing timelines of Shopify and the relevant card issuer or bank.




7. Intellectual Property



7.1 Our content



The Site, the audit template, our scoring methodology, our wording, graphics, logos, branding, and the report structure are owned by Reviewal and are protected by copyright, trademark, and other intellectual-property laws.



7.2 Licence to you



Upon full payment, we grant you a worldwide, non-exclusive, non-transferable, non-sublicensable licence to use the audit report you receive for your own internal business purposes — reading it, sharing it with your team, and acting on its recommendations. You may not:



- Resell, rent, license, or redistribute the report, in whole or in part

- Publish the report or substantial extracts of it publicly

- Use the report, our methodology, or our structure to build, train, or operate a competing service

- Remove or alter our branding, attribution, or disclaimers

- Represent that Reviewal endorses you, your account, or your business beyond what the report actually says



7.3 Your content



You retain ownership of your Instagram account and any content you provide to us. By submitting an Instagram handle and any supporting context, you grant Reviewal a limited, non-exclusive, royalty-free licence to access publicly available data from that handle and process your submissions solely to deliver the Service, to maintain internal records, and to improve our methodology in aggregated, de-identified form.




8. Acceptable Use



You agree not to, and not to allow any third party to:



- Use the Service for any unlawful purpose or in violation of Instagram's Terms of Use or Community Standards

- Submit an Instagram profile that you do not own or are not authorised to submit

- Misrepresent your identity, your authority, or the account being audited

- Attempt to reverse-engineer, copy, or replicate our audit methodology, scoring, or templates

- Use the Service, the Site, or any deliverable to harass, defame, threaten, or harm another person or business

- Falsely claim that Reviewal has endorsed you, your account, or any business decision

- Interfere with the security or operation of the Site



We may suspend or terminate your access to the Service, without refund, for any breach of this section.




9. No Guarantees



Instagram's algorithms, moderation systems, and enforcement decisions are proprietary to Meta and are outside our control. Accordingly, and without limiting anything else in these Terms, Reviewal does not warrant or guarantee:



- That your account will not be restricted, suspended, removed, shadowbanned, or otherwise actioned by Meta or Instagram, whether before or after you receive your report

- That following our recommendations will prevent, cure, or reverse any platform action, reach suppression, or loss of engagement

- That the Service will increase your followers, engagement, conversions, sales, revenue, or business outcomes in any amount

- That any timeline, turnaround, or response time will be met in a given case

- That our analysis, findings, or recommendations are complete, accurate, or free of error



The Service reflects our professional opinion based on publicly available information about your account and Meta's publicly available guidelines at the time of review. Compliance is a moving target — what is acceptable today may not be tomorrow.




10. Disclaimers



TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.



No advice or information, oral or written, obtained from Reviewal or through the Service creates any warranty not expressly stated in these Terms.




11. Limitation of Liability



TO THE MAXIMUM EXTENT PERMITTED BY LAW:



- Reviewal's total aggregate liability arising out of or in connection with the Site, the Service, these Terms, or any audit report — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the amount you paid to Reviewal for the specific order giving rise to the claim.

- Reviewal shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, lost goodwill, lost followers, lost engagement, lost rankings, lost content, lost account access, or loss of data, even if advised of the possibility of such damages.



Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the limitations above apply to the greatest extent permitted by law.




12. Indemnification



You agree to defend, indemnify, and hold harmless Reviewal and its owners, officers, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:



- Your use of the Site or the Service

- Your breach of these Terms

- Your violation of any law or third-party right, including any violation of Instagram's or Meta's terms or community standards

- Any content you provide to us or any action you take, or decide not to take, based on your audit report




13. Third-Party Services



The Site and the Service integrate with or link to third-party platforms, including Shopify (checkout and affiliate tracking), Instagram, and our email and hosting providers. We are not responsible for the content, availability, accuracy, or practices of any third party. Your use of a third-party service is governed by that third party's own terms and privacy policy.




14. Affiliate and Partner Program



Reviewal operates an affiliate and partner program through Shopify Collabs. If you join the program:



- You receive a unique tracking link and earn commission on qualifying, completed sales attributed to that link, as described on our partner page at the time you apply

- Commission rates, cookie windows, payout thresholds, and payout timing are governed by Shopify Collabs and our partner terms and may change from time to time

- You must not make misleading claims about the Service, guarantee outcomes, spam, or engage in incentivised-click schemes, self-referrals, or trademark-bidding on "Reviewal" or confusingly similar terms

- You must disclose your affiliate relationship wherever required by the platform you post on or by applicable law

- We may withhold, reverse, or claw back commissions on refunded, fraudulent, or policy-violating orders, and may terminate partners who breach these Terms or the partner program rules




15. Testimonials and Marketing



We may, with your consent or where permission is clearly implied (for example, a public post tagging or endorsing us), reference your first name or business name, a summary of your results, or non-confidential excerpts in our marketing. You can opt out at any time by emailing info@reviewal.io, and we will stop using your information in new marketing going forward.




16. Suspension and Termination



We may suspend, limit, or terminate your access to the Site or the Service, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud or abuse, caused a chargeback, or created risk or legal exposure for Reviewal. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.




17. Force Majeure



Reviewal is not liable for any failure or delay in performance caused by events outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, strikes, internet or hosting-provider outages, actions of Meta or Instagram (including API, rate-limit, or policy changes), cyberattacks, or government action.




18. Governing Law and Dispute Resolution



18.1 Governing law



These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.



18.2 Informal resolution



Before filing any formal action, you agree to contact us at info@reviewal.io and attempt to resolve the dispute informally in good faith for a reasonable period.



18.3 Binding arbitration



If the dispute is not resolved informally, it shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules, by a single arbitrator. The seat of arbitration shall be Wilmington, Delaware, and the proceedings shall be conducted in English. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs except as the arbitrator may otherwise allocate under the applicable AAA rules.



18.4 No class actions



You and Reviewal agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.



18.5 Injunctive relief



Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights or confidential information.




19. Changes to These Terms



We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent change. Material changes will be posted on the Site. Your continued use of the Site or the Service after changes take effect constitutes acceptance of the revised Terms.




20. Miscellaneous



Entire agreement. These Terms, together with the Privacy Policy and any order-specific terms presented at checkout, are the entire agreement between you and Reviewal regarding the Service and supersede any prior agreements or understandings.



Severability. If any provision is found unenforceable, the remaining provisions remain in full force.



No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.



Assignment. You may not assign these Terms without our prior written consent. Reviewal may assign these Terms in connection with a merger, acquisition, or sale of assets.



Headings. Headings are for convenience only and do not affect interpretation.



Notices. Legal notices to Reviewal must be sent to info@reviewal.io. Notices to you may be sent to the email on file for your order.
